1. Acceptance of Terms

By downloading, installing, accessing, or using SpeakWee software, services, website, or any associated products (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use the Service.

By creating an account or installing the software, you expressly consent to these Terms and our Privacy Policy. Your continued use of the Service constitutes ongoing acceptance of any updates to these Terms.

2. Definitions

  • "Software" refers to the SpeakWee desktop application (Lite, Pro, or any other edition), browser extensions, mobile apps, and any updates or patches.
  • "User" or "You" refers to any individual or entity that downloads, installs, accesses, or uses the Service.
  • "Account" refers to the user profile created to access certain features of the Service.
  • "Services" includes all features, functionalities, cloud processing, APIs, and any third-party integrations provided by SpeakWee.
  • "User Content" refers to any data, text, audio, transcriptions, translations, or other materials generated, uploaded, or processed through the Service.

3. License Grant and Restrictions

Subject to your compliance with these Terms, SpeakWee grants you a limited, non-exclusive, non-transferable, revocable license to use the Software for personal or commercial use according to your subscription plan. You agree NOT to:

  • Copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Software;
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software;
  • Remove, alter, or obscure any proprietary notices, labels, or trademarks;
  • Use the Software for any unlawful purpose or in violation of any applicable laws or regulations;
  • Circumvent, disable, or interfere with any security features, license validation mechanisms, or usage restrictions.

4. Account Registration and Security

Some features of the Service require you to create an account. You agree to provide accurate, current, and complete information during registration and maintain the accuracy of such information.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

SpeakWee reserves the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms.

5. Acceptable Use Policy

You agree not to use the Service to:

  • Upload, transmit, or process any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable;
  • Infringe on any patent, trademark, trade secret, copyright, or other intellectual property rights of any party;
  • Transmit viruses, malware, or any other malicious code;
  • Attempt to gain unauthorized access to the Service, other accounts, servers, or networks;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks;
  • Use automated means (bots, scrapers, etc.) to access the Service without prior written permission.

6. Intellectual Property Rights

The Service, including all software, algorithms, AI models, user interface, design, text, graphics, logos, and trademarks, is owned by SpeakWee and protected by intellectual property laws. Nothing in these Terms transfers any ownership rights to you.

You retain ownership of your User Content. By using the Service, you grant SpeakWee a limited, non-exclusive license to process your User Content solely for the purpose of providing the Service to you.

7. Payment, Subscriptions and Refunds

Certain features of the Service require a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase.

Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date. You may cancel your subscription at any time through your account settings.

All payments are non-refundable except as required by applicable law or as explicitly stated in our refund policy. Partial-month or partial-year refunds are not provided for canceled subscriptions.

SpeakWee reserves the right to change pricing at any time. Price changes will be communicated in advance and will apply to the next billing cycle.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which details how we collect, use, store, and protect your personal data. By using the Service, you consent to our data practices as described in the Privacy Policy.

SpeakWee's offline features (such as local transcription and text-to-speech) process data entirely on your device. Cloud features may require data transmission to our servers, subject to industry-standard encryption and security measures.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SPEAKWEE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

SpeakWee does not warrant that the Service will be uninterrupted, error-free, secure, or that any defects will be corrected. Transcription and translation accuracy may vary depending on audio quality, language, accent, and environmental conditions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPEAKWEE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL SPEAKWEE'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO SPEAKWEE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless SpeakWee and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

12. Termination

SpeakWee may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, your right to use the Service will immediately cease. You may request a copy of your data before termination, subject to our data retention policies.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to These Terms

SpeakWee reserves the right to modify or replace these Terms at any time. Material changes will be notified via email, in-app notification, or by posting the updated Terms on our website.

Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, without regard to conflict of law provisions. Any disputes arising from these Terms shall be submitted to the jurisdiction of the courts of Brazil.

Before initiating any legal proceeding, the parties agree to attempt to resolve disputes through good-faith negotiation and, if necessary, mediation.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
